Membership Agreement
Membership Agreement for Dispense Pharmacy Network, LLC
1. Agreement Overview
This Membership Agreement (“Agreement”) is made between Dispense Pharmacy Network, LLC (“Organization”) and the member (“Member”) whose details are provided upon registration. By completing the registration process, the Member agrees to abide by the terms and conditions outlined in this Agreement.
2. Membership Eligibility
Membership in Dispense Pharmacy Network is available to independent pharmacies, pharmacists, wellness practitioners, and other professionals in the pharmacy sector. The Organization reserves the right to deny membership to any applicant for any reason.
3. Membership Benefits
Members shall receive access to the following benefits, which may be subject to change:
- Educational resources, including online courses and webinars
- Networking opportunities with industry professionals
- Marketing tools and resources
- Advocacy efforts on behalf of independent pharmacies at the national and state levels
- Access to exclusive events and conferences
4. Membership Fees
Membership fees will be outlined on the Organization’s website and may vary based on membership type. All fees are due upon registration and are subject to annual renewal.
5. Refund Policy
All membership fees are non-refundable once the membership has been established. This includes, but is not limited to, initial membership fees, renewal fees, and any other associated costs.
6. Term and Termination
This Agreement will commence on the date of acceptance and will continue for one year, unless terminated earlier by either party. The Organization reserves the right to terminate a Member’s membership at any time for violation of the terms of this Agreement or for conduct deemed detrimental to the Organization.
7. Code of Conduct
Members agree to conduct themselves in a professional manner and to adhere to the Organization’s Code of Conduct. This includes, but is not limited to, respectful communication with other members, participation in events, and compliance with all applicable laws and regulations.
8. Confidentiality
Members acknowledge that during their membership, they may have access to confidential information related to other members and the Organization. Members agree not to disclose any such confidential information to third parties without the prior written consent of the Organization.
9. Intellectual Property
All content, materials, and resources provided by the Organization are the intellectual property of Dispense Pharmacy Network, LLC and are protected by copyright and trademark laws. Members are granted a limited license to use these materials for personal and professional purposes related to their membership.
10. Limitation of Liability
The Organization shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the Member’s participation in the Organization, including but not limited to any loss of profits or goodwill.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which Dispense Pharmacy Network, LLC is registered, without regard to its conflict of law principles.
12. Amendments
The Organization reserves the right to amend this Agreement at any time. Members will be notified of any significant changes, and continued participation in the Organization will constitute acceptance of the revised Agreement.
13. Acceptance
By completing the registration process and submitting payment, the Member acknowledges that they have read, understood, and agreed to the terms and conditions set forth in this Membership Agreement.
